By accessing and using the Microfiber Source Design Portal ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these terms, you must not access or use the Service.

2. Description of Service

The Design Portal is a proprietary platform operated by Microfiber Source for the purpose of presenting custom microfiber product designs to authorized clients. The Service enables clients to review, provide feedback on, and approve design concepts for branded microfiber products.

3. User Eligibility

Access to the Service is limited to authorized business clients and internal team members of Microfiber Source. You represent that you have the authority to bind the organization you represent to these terms.

4. Authorized Use

You may use the Service only for its intended purpose: reviewing and providing feedback on design concepts presented to you. Any other use without explicit written permission from Microfiber Source is strictly prohibited.

5. Account Security

If you are provided with login credentials, you are responsible for maintaining the confidentiality of such credentials. You agree to notify Microfiber Source immediately of any unauthorized access to your account.

6. Modifications to Terms

Microfiber Source reserves the right to modify these Terms of Use at any time. Continued use of the Service after any changes constitutes acceptance of the new terms.

7. Termination

Microfiber Source may terminate or suspend your access to the Service at any time, without prior notice, for any reason, including breach of these Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

We retain your information for as long as necessary to fulfill the purposes outlined in this policy, comply with legal obligations, resolve disputes, and enforce agreements.

We do not sell your personal information. We may share information with: service providers who assist in operating the Service, legal authorities when required by law, and business partners with your consent.

Prohibited Activities

THE FOLLOWING ACTIVITIES ARE STRICTLY PROHIBITED:

• Automated Access: Using any robot, spider, scraper, crawler, or other automated means to access, extract, or download content from the Service.
• Data Mining: Systematically collecting, harvesting, or storing design images, mockups, or any visual content from the Service.
• Reverse Engineering: Attempting to decompile, disassemble, or derive the source code, algorithms, or processes used in the Service.
• Unauthorized Copying: Downloading, copying, reproducing, or distributing design images, mockups, or other content without express written permission.
• Commercial Exploitation: Using any content from the Service for commercial purposes other than the specific project for which it was created.
• Circumvention: Attempting to bypass any technological measures designed to protect the Service or its content.

Monitoring and Enforcement

Microfiber Source actively monitors for violations of this policy. We employ technical measures to detect and prevent unauthorized access and scraping. Violations may result in immediate termination of access, legal action, and claims for damages.

Consequences of Violation

Violations of this policy may result in: immediate termination of service, legal action for copyright infringement, claims for statutory damages of up to $150,000 per work infringed (under U.S. copyright law), recovery of attorney's fees and costs, and injunctive relief.

1. Ownership

All content on this Service, including but not limited to designs, mockups, graphics, images, text, logos, icons, and software, is the property of Microfiber Source or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

2. Design Ownership

Unless otherwise specified in a separate written agreement, all designs created by Microfiber Source remain the property of Microfiber Source until full payment is received and ownership is formally transferred. Viewing designs on this portal does not constitute transfer of any rights.

3. Client Brand Assets

Clients retain ownership of their own brand assets (logos, trademarks, etc.) that are incorporated into designs. By uploading brand assets, you grant Microfiber Source a limited license to use such assets solely for the purpose of creating and presenting design concepts.

4. Limited License

You are granted a limited, non-exclusive, non-transferable license to view the designs presented to you through this Service for the sole purpose of evaluation and feedback. This license does not include the right to copy, modify, distribute, or create derivative works.

All designs displayed on this portal are protected by copyright: © 2024-2026 Microfiber Source. All Rights Reserved. Unauthorized reproduction, distribution, or use is strictly prohibited.

6. DMCA Compliance

Microfiber Source respects the intellectual property rights of others. If you believe any content on this Service infringes your copyright, please contact our designated DMCA agent with the required information under 17 U.S.C. § 512(c).

7. Trademarks

"Microfiber Source" and associated logos are trademarks of Microfiber Source. Other product and company names mentioned may be trademarks of their respective owners.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MICROFIBER SOURCE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MICROFIBER SOURCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Indemnification

You agree to indemnify and hold harmless Microfiber Source from any claims, damages, losses, or expenses arising from your violation of these terms or misuse of the Service.
